Pricing Schedule

Effective April 1, 2024

Applicable States: Florida, Minnesota & Ohio

This pricing schedule (“Pricing Schedule”) is incorporated as part of the Ideal Services Agreement between Ideal and Client (the “Agreement”) and sets forth the Fees Client may incur when Shifts are performed by an Ideal Worker in the state listed above, other Fees that may be incurred and charged to Client, and the billing processes and authorizations related to the Fees. By accepting the Agreement or by continuing to use the Software or the Services on or after the date first listed above, Client accepts and agrees to this Pricing Schedule and agrees to pay the Fees for the Services in the amounts and in accordance with: (a) the payment terms and processes herein; (b) the Agreement; and (c) the Ideal Policies. Capitalized terms not defined in this Pricing Schedule shall have the meanings ascribed to them in the Agreement.

  • Definitions:
    • Time Worked”Time recorded in the Software of an Ideal Worker.
    • “Ideal Rate” Worker Wages multiplied by one plus the sum of the Employment Fee, and the Marketplace Fee.
    • “Reduced Shift Fee” Hourly Rate multiplied by the Shift Length less 1 hour, multiplied by the Ideal Rate plus applicable tax.
    • “Shift Extension Fee” Hourly Rate multiplied by the Time Worked, multiplied by the Ideal Rate plus any applicable overtime and tax.
    • “Minimum Base Fee” Hourly Rate multiplied by three (3), multiplied by the Ideal Rate plus applicable tax.
    • “Cancellation Deadline” Client may cancel a Shift up to 48 hours in advance of the start time of a Shift.
    • “Base Fee” Hourly Rate multiplied by the Shift Length, multiplied by the Ideal Rate plus any applicable overtime and tax.
    • “Reimbursable Expense” Any expenses that are incurred by Ideal or by Ideal Workers, and owed to Ideal by Client, which are reasonably related to or arise out of the Shift with Client or the discharge of an Ideal Worker’s duties for Client.
    • “Taxes” Any taxes, including all sales taxes, value added taxes, goods and services taxes, business transfer taxes, withholding taxes or any other taxes now or hereafter imposed by any governmental authority with respect to the provision of the Services to Client, but, for certainty, excluding Ideal’s taxes for income derived under the Agreement owed by Client.
    • “Payment Method” Identified automatic payment method from Client to Ideal.
    • “Worker Wages” Fees charged based upon consumption calculated as shift rate multiplied by shift duration as set by Client.
    • “Employment Fee” Charged as a percentage of Ideal worker wages and covers payroll taxes, payroll processing and workers’ compensation. “Marketplace Fee” Charged as a percentage of worker wages and covers marketplace operations.
    • “Conversion Fee” Charged if Client hires a worker following engagement through Ideal talent marketplace platform.
    • “Platform Fee” Yearly recurring fee for Ideal talent marketplace platform.
    • “Order Form” Means the Order Form entered into between Client and Ideal.

  • For each shift, Client will be billed the Ideal Rate, as defined above, plus all other applicable charges set forth herein.
  • For example, Client submits a Job Request at an Hourly Rate of $20 for a stated Shift Length of 8 hours in the Software. An Ideal Worker accepts the Job Request and works a Shift, with the Time Worked being 8 hours. Client will be charged a Fee of ($20/hour x 8 hours) x (1 + 0.18 + 0.20) plus applicable tax.) 
  • Hourly Rates may be subject to additional fees and costs including but not limited to overtime fees at either a multiple of 1.5 or 2.0, depending on applicable legislation if the Client requests the Ideal Worker to work hours in addition to the Time Worked recorded in the Software. Client agrees that it will assign and pay the Hourly Rate at or above the applicable minimum wage.
  • Subject to the other terms herein, the duration of each Shift will be determined based on time recorded in the Software by an Ideal Worker (“Time Worked”) regardless of the Shift Length.  Client agrees not to request or permit the Ideal Worker to work hours in addition to the Time Worked recorded in the Software.  The Client is responsible for any such hours and costs associated therewith, including overtime fees.
  • Minimum Hours:
    • Client is responsible for a minimum number of three (3) guaranteed hours for each Shift.  Client shall pay the applicable hourly rate for the minimum number of guaranteed hours regardless of whether the Ideal Worker is assigned to work the full number of hours, unless the Ideal Worker fails to show up for the scheduled Shift or meets other exceptions standards as specified herein. 
  • Reduced Shifts:
    • Client may reduce the Shift Length after an Ideal Worker arrives at Client’s worksite by up to 1 hour without penalty.
    • To the extent that Client shortens a Shift after a Ideal Worker arrives at Client’s worksite by more than 1 hour, Client will pay the Reduced Shift Fee. (For example, Client submits a Job Request at an Hourly Rate of $20 for a stated Shift Length of 8 hours in the Software. An Ideal Worker accepts the Job Request and works a Shift, with the Time Worked being 6 hours. Client will be charged a Fee of ($20/hour x (8-1) hours) x (1 + 0.18 + 0.20) plus applicable tax.)
  • Shift Extensions:
    • Client may extend a Shift after an Ideal Worker’s arrival at Client’s worksite, with Ideal Worker’s consent and following written notification to Ideal through the Software.
    • To the extent that Client extends a Shift beyond the Shift Length, Client will pay the Shift Extension Fee. (For example, Client submits a Job Request at an Hourly Rate of $20 for a stated Shift Length of 8 hours in the Software. An Ideal Worker accepts the Job Request and works a Shift, with the Time Worked being 10 hours. Client will be charged a Fee of ($20/hour x 10 hours) x (1 + 0.18 + 0.20) plus applicable tax.) 
  • Base Fee, Final Fee, and Cancellations:
    • Prior to an Ideal Worker accepting a Shift, Client may cancel a Job Request without incurring and paying the Base Fee (defined below).
    • Client may cancel a Shift up to 48 hours in advance of the start time of a Shift, the Cancellation Deadline, without incurring and paying the Base Fee.
    • If Client cancels a Shift less than 48 hours prior to the Shift start time, then Client shall pay the Minimum Base Fee.
    • If Client cancels a Shift after the Ideal Worker has started their shift, Client will be responsible for the Base Fee.
    • Client will not be charged the Base Fee if an Ideal Worker fails to arrive at Client’s worksite at the specified start time of a Shift by more than 1 hour; the Shift will be cancelled.
    • Promptly following a shift, Client will be charged the appropriate additional Fees, in excess of the Base Fee, whether due to the application of the Reduced Shift Fee, the Shift Extension Fee, Reimbursable Expenses, Travel Expenses or otherwise
  • Conversion Fees:
    • When applicable, Client will pay to Ideal the Conversion Fee set forth above for each Hired Worker.
    • The Conversion Fee will not be charged to Client if the payment of such a fee is prohibited by applicable law, the Ideal Worker becomes a Hired Worker as a direct result of a general advertisement or solicitation that is not specifically targeted to such Ideal Worker, the Ideal Worker has not performed a Shift for Client in the prior six (6) months; or Client has utilized the Hired Worker as an Ideal Worker and paid Ideal the applicable Fees for no fewer than 250 hours.
  • Other Fees:
    • Client shall reimburse Ideal for any Reimbursable Expenses. In the event Client requires Assigned Ideal Workers to provide their own internet service or mobile device service for remote work, Client-required equipment and tools, Client-required uniforms, pre-employment health screening (e.g., COVID-19 testing) and fit for duty doctor’s visit costs, such costs will be deemed Reimbursable Expenses, in Ideal’s discretion, and will be separately charged to Client.
    • To the extent that Client fails to provide Ideal Worker with required breaks or creates a situation that may increase the cost of employment of such Ideal Worker to Ideal, (e.g. unanticipated hourly wages), Ideal may increase the Hourly Rate or the Time Worked to account for such costs before charging the applicable Fees set forth herein.
    • To the extent that an Ideal Worker is an existing employee of Client, an affiliate of Client, a union or similar collective bargaining group such Client’s engagement of the Ideal Worker though the Services causes Ideal to incur, or may reasonably cause Ideal to incur, additional costs related to employment for the Ideal Worker (e.g. overtime pay or benefits), Ideal may increase the Hourly Rate to account for such costs and charge the applicable Fees set forth herein. Client will be solely responsible for any fees and costs it may incur form a trade union or under a collective bargaining agreement and hold Ideal harmless with respect to same and provide Ideal with a copy of any such agreement.
    • Ideal reserves the right to increase fees no more than annually provided that Ideal provides sixty (60) days’ notice to Client.
  • Taxes. If Ideal is legally required to pay or collect any Taxes related to an Assignment or the Services for which Fees are charged, Client agrees to pay such amount unless Client provides Ideal with a valid tax exemption certificate authorized by the applicable taxing authority subject to Ideal’s review and acceptance.
  • Billing and Payment.
    • Ideal may charge the Base Fee at the Cancellation Deadline and debit via the identified automated method Payment Method, or if a Job Request is accepted by a Temporary Worker after the Cancellation Deadline, Ideal may charge the Base Fee to the Payment Method as soon as practicable. In the event that the applicable Fees for a Shift vary from the Base Fee, whether due to the application of the Reduced Shift Fee, the Shift Extension Fee, or otherwise, Ideal shall, promptly, following the end of a Shift, debit Client’s Payment Method or provide Client with a credit for future Services or credit Client’s Payment Method for the applicable difference in Fees. To the extent permitted by applicable law and subject to Ideal’s Privacy Policy, Client acknowledges and agrees that Ideal may use certain third-party vendors and service providers to process payments and manage Payment Method information.
    • Client will review each payment receipt received and provide Ideal written notice of any errors within ten (10) days of receipt. If Client does not notify Ideal of any errors, Client shall forfeit the right to contest the payment receipt except to the extent such forfeiture is prohibited by any applicable law or regulation. Subject to the foregoing notice requirement, (a) if and to the extent an error is caused by Ideal, Ideal will correct the error and (b) if an error is caused by Client, Ideal may, but is not obligated to, attempt to correct the error and will offset any costs Ideal incurs from any funds returned to Client’s Payment Method. Except as otherwise set forth in this Agreement, Fees are non-cancelable and non-refundable and will be paid without setoff. If Client fails to comply with any of the terms of payment (excluding any Fees disputed in good faith), Ideal may, in addition to any other right available to it, suspend performance of all or any part of the Services.
    • Unpaid Fees (excluding any Fees disputed in good faith) will accrue interest at a rate of 1% per month and Client will reimburse Ideal for all costs incurred in collecting any late payments or interest, including attorneys’ fees, court costs, and collection agency fees.
    • Except as otherwise set forth in this Agreement, Fees are non-cancelable and non-refundable and will be paid without setoff. If Client fails to comply with any of the terms of payment (excluding any Fees disputed in good faith), Ideal may, in addition to any other right available to it, suspend performance of all or any part of the Services.
  • Modification. To the extent permitted by applicable law, Ideal may modify this Pricing Schedule without prior notice to Client, and any revisions to this Agreement will take effect when posted in the Software or otherwise delivered to Client.
